Charter Financial Corporation (Charter Financial) is a holding company for the CharterBank (the Bank). Charter Financial’s business activity is the ownership of CharterBank. CharterBank is a federally chartered stock savings bank. Its business consists of attracting retail deposits from the areas surrounding its administrative office in West Point, Georgia and its 16 branch offices located in west-central Georgia and east-central Alabama, and investing those deposits, together with funds generated from operations, in investment securities, commercial real estate loans, one- to four-family residential mortgage loans, construction loans and commercial business loans, home equity loans and lines of credit and other consumer loans. In addition to its 16 branch offices in West Point, Bremen, Carrollton, LaGrange, Newnan and Peachtree City, Georgia and Auburn, Opelika and Valley, Alabama, it operates a loan origination office in Norcross, Georgia. First Charter, MHC is the Company's federally chartered mutual holding company. First Charter, MHC’s business activity is the ownership of Charter Financial, or approximately 61% of Charter Financial’s outstanding shares as of December 15, 2010. Charter Foundation, Inc., is a non-profit charitable foundation, provides funds to nonprofit organizations to help them carry out projects in specific fields of interest. In March 2010, it completed the acquisition of four branches of McIntosh Commercial Bank (MCB) and closed one branch. On March 26, 2010, CharterBank entered into an acquisition agreement with the The Federal Deposit Insurance Corporation (FDIC) to acquire certain assets and assume certain liabilities of MCB, a full-service commercial bank. The Bank offers a range of loan products with a range of rates and terms. Its lending operations consist of commercial real estate lending; single-family residential mortgage lending for retention in its portfolio; construction lending, and residential mortgage lending for resale in the secondary mortgage market. To a lesser extent, it also originates consumer loans, including home equity loans and other forms of consumer installment credit, and commercial business loans. As of September 30, 2010, non-covered commercial real estate loans totaled $267.7 million, or 58% of its total non-covered loan portfolio. In addition, as of September 30, 2010, it had $150.9 million of commercial real estate loans covered by FDIC loss-sharing agreements. Commercial real estate loans are made to Georgia or Alabama entities. Commercial real estate loans are made for up to 85% of the value of the underlying real estate. Its commercial real estate loans are secured by offices, hotels, strip shopping centers, land or convenience stores located in Georgia and Alabama. Multi-family mortgage loans, which it categorizes as a subset of its commercial real estate loans, are originated for both new and existing properties and are made on apartment buildings with a range of tenant income levels.
