BANR Business Profile
Banner Corporation (Banner) is a bank holding company. The Company is engaged in the business of planning, directing and coordinating the business activities of its wholly owned subsidiaries, Banner Bank and Islanders Bank. Banner Bank is a state-chartered commercial bank that conducts business from its main office in Walla Walla, Washington, and as of December 31, 2011, it operated 86 branch offices and seven loan production offices located in Washington, Oregon and Idaho. Islanders Bank is also a setae-chartered commercial bank that conducts business from three locations in San Juan County, Washington. The Company’s primary business is that of traditional banking institutions, accepting deposits and originating loans in locations surrounding its offices in portions of Washington, Oregon and Idaho. Banner Bank is a regional bank, which offers a range of commercial banking services and financial products to individuals, businesses and public sector entities in its primary market areas. Islanders Bank is a community bank, which offers similar banking services to individuals, businesses and public entities located in the San Juan Islands. Banner Bank is also a participant in the secondary market, engaging in mortgage banking operations through the origination and sale of one- to four-family residential loans. All of the Company’s lending activities are conducted through Banner Bank, its subsidiary, Community Financial Corporation, and Islanders Bank. Lending activities include commercial business and commercial real estate loans, agriculture business loans, construction and land development loans, one- to four-family residential loans and consumer loans. Its commercial business lending has been directed towards meeting the credit and related deposit needs of various small- to medium-sized business and agribusiness borrowers operating in its market areas. As of December 31, 2011, its net loan portfolio totaled $3.2 billion. Banner originates loans for its own loan portfolio and for sale in the secondary market. The Company’s real estate lending activities have also included the origination of multi-family and commercial real estate loans. At both Banner Bank and Islanders Bank, the Company originates loans secured by first mortgages on one- to four-family residences in the Northwest communities where it has offices. While it offers a range of products, the Company has not engaged in any sub-prime lending programs. As of December 31, 2011, $643 million, or 20% of its loan portfolio, consisted of permanent loans on one- to four-family residences. As of December 31, 2011, construction and land loans totaled $319 million, or 10% of total loans of the Company, consisting of $144 million of one- to four-family construction loans, $98 million of residential land or land development loans, $62 million of commercial and multi-family real estate construction loans and $15 million of commercial land or land development loans.
