Central European Media Enterprises Ltd. (CME), incorporated on June 15, 1994, is a media and entertainment company operating broadcast, content and new media businesses in Central and Eastern Europe. CME operates in three business segments: Broadcast, Media Pro Entertainment and New Media. The Company operates mainly in Bulgaria, Croatia, the Czech Republic, Romania, the Slovak Republic and Slovenia. It also has broadcast operations in Moldova and content distribution operations in Hungary. CME’s broadcast segment consists of 36 television channels reaching an aggregate of approximately 50 million people primarily in six countries. The Company’s Media Pro Entertainment is organized into two businesses: production and distribution. As of December 31, 2012, CME owned and operated over 70 Websites across its markets and it had launched its video-on-demand service, Voyo. CME generates advertising revenues in its Broadcast segment primarily through entering into agreements with advertisers, advertising agencies and sponsors to place advertising on the television channels that it operate. The Company’s main general entertainment television channels in each country are distributed on a free-to-air basis terrestrially in analog, digital or both, depending on the digitalization status in each country, and are also distributed through cable and satellite. Its other channels are generally distributed through cable and satellite. It owns 100% of its broadcast operating and license companies in each country. In Bulgaria, the Company operates one general entertainment channel, BTV, four other channels, BTV CINEMA, BTV COMEDY, RING.BG and BTV ACTION and several radio channels. On January 28, 2012, it launched BTV LADY, a female-oriented cable channel. The Company also operates several radio channels. The Company own 94.0% of CME Bulgaria B.V. (CME Bulgaria), the subsidiary that owns its Bulgaria Broadcast operations. In Croatia, it operates one general entertainment channel, NOVA TV (Croatia), one female-oriented channel, DOMA (Croatia) and an international channel, NOVA WORLD. In the Czech Republic, it operates one general entertainment channel, TV NOVA (Czech Republic), and three other channels, NOVA CINEMA, NOVA SPORT, MTV CZECH, FANDA, a male-oriented channel. In the Romania, it operate two general entertainment channels, PRO TV and ACASA, and six other channels, PRO CINEMA, SPORT.RO, MTV ROMANIA, PRO TV INTERNATIONAL, an international channel, PRO TV CHISINAU, a general entertainment channel broadcasting in Moldova, and ACASA GOLD, a female-oriented cable channel. In the Slovak Republic, it operate one general entertainment channel, TV MARKIZA, and three other channels, DOMA (Slovak Republic), a female-oriented channel, DAJTO, a male-oriented channel.
