CNB Financial Corporation Inc, incorporated in 1983, is a financial holding company. The Company provides a range of banking and related services through its wholly owned subsidiary, CNB Bank (the Bank). In addition, the Bank provides trust and asset management services, including the administration of trusts and estates, retirement plans, and other employee benefit plans, as well as a range of wealth management services. The Bank is a full-service bank engaging in a range of banking activities and services for individual, business, governmental and institutional customers. These activities and services principally include checking, savings, and time deposit accounts; real estate, commercial, industrial, residential and consumer loans, and other financial services. The Bank’s Wealth & Asset Management Services division offers a range of client services. During the year ended December 31, 2011, a CNB Bank loan production office was opened in Indiana, Pennsylvania and a loan production office in Johnstown, Pennsylvania was closed. In October 2013, the Company announced the merger with FC Banc Corp and as result of the merger CNB Financial Corporation became the surviving company. In addition Farmers Citizens Bank, the wholly owned subsidiary of FC Banc Corp. merged with and into CNB Bank, a wholly owned subsidiary of CNB Financial Corporation, with CNB Bank continuing as the surviving company. ERIEBANK, a division of CNB Bank, provides financial services to individuals and businesses located within its market areas, which include the northwestern Pennsylvania county of Erie and the city of Meadville located in Crawford County. ERIEBANK has four full-service branch offices in the city of Erie, Pennsylvania, and one full-service branch office in the city of Meadville, Pennsylvania. The Bank has 27 full-service branch offices and one loan production office located in various communities in its market area. The Bank’s primary market area consists of the Pennsylvania counties of Cambria, Cameron, Clearfield, Elk, Indiana, McKean and Warren. It also includes a portion of western Centre County, including Philipsburg Borough, Rush Township and the western portions of Snow Shoe and Burnside Townships and a portion of Jefferson County, consisting of the boroughs of Brockway, Falls Creek, Punxsutawney, Reynoldsville and Sykesville, and the townships of Washington, Winslow and Henderson. The Company’s lending is focused in the west central and northwest Pennsylvania markets. Its lending activities consist principally of commercial and retail lending, which includes single family residential mortgages and other consumer loans.
