BBCN Bancorp, Inc. (BBCN Bancorp), formerly Nara Bancorp, Inc., incorporated on June 5, 2000, is a bank holding company. The Company offers commercial banking loan and deposit products through its wholly owned subsidiary, BBCN Bank (the Bank). The Company’s principal business activities consist of earning interest on loans and investment securities, which are funded by customer deposits and other borrowings. BBCN Bank focuses its business in Korean communities in California, New York City metropolitan area, New Jersey, Chicago and Seattle. Through the merger with Center, it added Center Bank’s 21 full-service branch offices, 18 of which are located in California, as well as a Loan Production Office in Seattle and one in Denver. On February 15, 2013, the Company merged with Pacific International Bancorp Inc. In August 2013, BBCN Bancorp, Inc. completed the acquisition of Foster Bankshares, Inc. The Company’s operating revenues consist of the difference between interest received and interest paid, gains and losses on the sale of financial assets, and fees earned for financial services provided. Through its network of 44 branches and three loan production offices, it offers commercial banking loan and deposit products to its customers, who are small- to medium-sized businesses and individuals in its market areas. It accepts deposits and originates a range of loans, including commercial business loans, commercial real estate loans, trade finance loans, and small business administration (SBA) loans. BBCN Bank offers cash management services to its business customers, which include remote deposit capture, lock box and automated clearing house (ACH) origination services. Each of its branches operates around-the-clock automated teller machines (ATMs). It also offers debit card services to all customers and courier services to qualifying customers. It also offers around-the-clock banking by telephone. The Bank provides commercial loans to businesses for various purposes, such as for working capital, purchasing inventory, debt refinancing, business acquisitions and other business related financing needs. Commercial loans are classified as short-term loans (or lines of credit) or long-term loans (or term loans to businesses). Real estate loans are extended for the purchase and refinance of commercial real estate and are secured by first deeds of trust. It offers both fixed and floating rate commercial real estate loans. The Bank also extends loans partially guaranteed by the SBA. The Bank extends SBA loans known as SBA 7(a) loans and SBA 504 loans. SBA 7(a) loans are extended for working capital needs, purchase of inventory, purchase of machinery and equipment, debt refinance, business acquisitions, start-up financing, or to purchase or construct owner-occupied commercial property.
